The Wemoot User may also represent a local organisation or community, in which case the Wemoot User takes full responsibility for that representation.

These Terms and Conditions are the legally binding terms and conditions on the Member Wemoot User, Star User, Advertiser, Moderator and Administrator in order to gain access to this Website. Only Wemoot User, Star User, Advertiser, Moderator and Administrator that are permitted under the laws of the jurisdiction in which they access the Website shall be permitted to accept these Terms & Conditions and continue using this Website.
Advertisers
Subject to Clause 2.1, the ExpertAdvertisers subscribes to this Website by entering into a contract with the Company. A contract is formed at the point when the ExpertAdvertisers (i) makes the pPayments the Subscription Fee and the payment Payment has cleared and (ii) the ExpertAdvertiser’s’ e-mail address has been validated as part of the process. The Subscription FeePayment shall be an [ annual] Subscription fee (as provided on this Website from time to time) payable by the ExpertAdvertisers.
The Company reserves the right to amend or revise these Terms and Conditions or the Privacy Policy at any time at the Company’s sole discretion. Wemoot User and Star User
The Member Wemoot User must be over the age of 16 and the Member Wemoot User and Star User affirms that the Member Wemoot User and Star User is over 16 years of age (or the legal age to accept these Terms and Conditions in the jurisdiction in which the Member Wemoot User accesses this Website). Any Member Wemoot User and Star User under the age of 16 (or the legal age to accept these terms and conditions in the jurisdiction from which the Member Wemoot Userand Star User accesses the Website) that wishes to register on this Website must have permission from a parent or legal guardian to be able to fully and competently enter into the conditions, obligations, affirmations and warranties set out in these Terms and Conditions. Moots (section comprising ‘my moots’, ‘arts’, ‘dictionary’, ‘health’, ‘jobs’, ‘leisure’, ‘science’, ‘sport’, ‘technology’, ‘travel’). In this section the Wemoot User and Star User are able to add new topics and discuss them with other Members.
People section. In this section the Member may find friends and search for other Wemoot User and Star User.
Mail section. This section comprises an ‘inbox’, ‘sent box’ and ‘new mail box’. Wemoot Users and Star people can manage sent and received emails from Wemoot User and Star User only through this Website;
Profile section comprising ‘profiles’ and ‘my account’. The Wemoot User and StarUser are able to Upload information about themselves and can choose which aspect of their profiles are to be made public or notremain private.
Advertisements – there will be a number of advertisements placed by Advertisers ofon this Website.
This Website contains a registration or Subscription process in order for the Member Wemoot User, Star User, Advertiser, Moderator and respectively to gain access to the Website.
Once the Advertisers registers there is a Payment process in order for the Advertisers to advertise on this Website.
All Subscriptions are subject to these Terms and Conditions. The ExpertAdvertisers must accept and agree to these Terms and Conditions before the Subscription processPayment process occurs and the ExpertAdvertisers gains accessareis able to advertise to the Services on this Website.
All prices are displayed in GBP. [Payments by credit card will be subject to a [P[ ] percent] [ ] % handling charge.]
Payment of the Subscription Fee is accepted by [credit card] [or debit card] [or] via Paypal. Paypal accepts payment using the following cards: VISA, VISA ELECTRON, SWITCH, MEASTRO, SOLO, MASTERCARD and AMERICAN EXPRESS. Paypal also accepts payments by direct debit. Once the ExpertAdvertisers has paid a Subscription Feehaves made the Payment, this will allow the ExpertAdvertisers [an annual] Subscription use of the Website. The rights granted by such Subscription Payment and the Services on this Website are as provided in Clause [44.3] below.
Upon expiry of the Expert’s Subscription, the ExpertThe Advertisers will be required to make monthly Payments will be required to renew the Subscription and access to the Services will be denied until the Subscription FeeAadvertisersts will be removed until the Payment has been paidmade. The Expert will be sent a reminder before Subscription is due to expire reminding the Expert of renewal of Expert’s Subscription in order to enjoy uninterrupted access to the Services.
The Services are non-transferable and for use only by the individual subscribing to them. In the event that the Expert shares Subscription details with a third party, the Company reserves the right to terminate the Expert’s subscription.
EXPERT ADVERTISERS
The Expert warrants, represents and undertakes that the information provided at Subscription is true and accurate to the best of the Expert’s knowledge.
By using this Website, the Expert grants consent, in accordance with the Data Protection Act 1998, to allow the employees of the Company or organisations required by the Company in order for the Services to be provided, to access the Expert’s personal records where required in accordance with our Privacy Policy.
For the avoidance of doubt, no legal relationship shall exist between the Expert and the Company until the Expert Subscribes to the Services by paying the Subscription Fee.
The Expert agrees to indemnify and keep fully indemnified the Company against any and all loss or damage of any kind suffered as a result of the Expert’s misuse of the Services or this Website (or the use of the Services and this Website by any third party accessing the protected area of this Website using the Expert’s Subscription information) or any breach or non-observance of these Terms and Conditions.
When an Advertisers are required to register on this Website, the Advertisersuser (acting for an on behalf of the company wishing to advertise on this Website) will be required to enter the user’s first name, last name and an e-mail address, password and company details of the person acting for and on behalf of the company wishing to advertise on this Website (where appropriate), thenreafter the Advertisers will be taken to the payment gateway to enter the Advertiser’s’ card details. When registering on this Website, the Advertisers must provide accurate and complete information. It is important that the Advertisers keeps the password secure and confidential. The Star people and Advertisers warrant represent and undertake that the information provided is true and accurate to the best of the Star people and Advertiser’s’ knowledge.

Star User

The Company will not be liable to the Member Wemoot User or ExpertStar User for any loss incurred by the Member Wemoot User or ExpertStar User as a result of unauthorised use of the Member Wemoot User or ExpertStar User’s Account. By Uploading Materials Articles and Moots onto this Website, the Expert Wemoot User, Star User, Advertiser, Moderator and Administrator hereby grants to the Company an irrevocable, perpetual, non-exclusive, royalty-free, world-wide, transferable sub-licence and transferable licence to use, reproduce, distribute any and all of the MaterialsArticles and/or Moots Uploaded by the Expert Wemoot User, Star User, Advertiser, Moderator and Administrator in connection with this Website, the Company and its successors’ business or assigns, including without limitation, for promoting and redistributing part or all of this Website in any Media format and through without any requirement of prior permission from the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator, being attributed to the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator. The Expert Wemoot User, Star User, Advertiser, Moderator and Administrator hereby grants to each Member Wemoot User or other ExpertStar people of this Website a non-exclusive licence to access the MaterialsArticles and/or Moots through this Website, and to use, reproduce, distribute such MaterialsArticles and/or Moots as permitted through the functionality of this Website and under these Terms and Conditions. The foregoing licence granted by the Expert Wemoot User, Star User, Advertiser, Moderator and Administrator will terminate once the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator or the Company removes or deletes MaterialsArticles or any part thereof from this Website.
Removal Right. All MaterialsArticles or Moots that are Uploaded by Expert Wemoot User, Star User, Advertiser, Moderator or Administrator are subject to approval by the Company from time to time. Content will be checked by the Company of this Website on a random basis. The Expert Wemoot User, Star User, Advertiser, Moderator and Administrator expressly agrees agree that the Company may remove, disable or restrict access to or the availability of any MaterialsArticles or Moots from this Website (including, but not limited to, MaterialsArticles or Moots which the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator has have posted or stored) which the Company believes, in good faith and in at the Company’s discretion, violate the Company’s Terms and Conditions. Further or promote any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, theft, child pornography, sexual assault, violating someone's privacy, or providing or creating computer viruses;
Solicit password or personal identifying information for commercial or unlawful purposes from other MembersWemoot Users; or
Involve commercial activities and/or sales without prior written consent from the Company.
The Company is under no obligation to any Member Wemoot User and therefore may refuse to remove any MaterialsArticles and/or Moots from this Website.
TERMINATION RIGHT
The licences granted by the Expert Wemoot User, Star User, Advertiser, Moderator and Administrator in Clause 11.4 above, will terminate when the Expert Wemoot User, Star User, Advertiser, Moderator and/or Administrator removes remove or deletes MaterialsArticles and/or Moots from this Website. In the event that the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator elects elect to terminate the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator’s legal agreement with the Company, the above licences granted by the Expert Wemoot User, Star User, Advertiser, Moderator orAdministrator in the MaterialsArticles and/or Moots that are NOT removed or deleted by the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator prior to the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator closing the Account are perpetual and irrevocable, but are otherwise without prejudice to the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator ownerships rights.
DISCLAIMER OF MATERIALSARTICLES MOOTS ADVERTISEMENTS
The Company does not endorse the content of any MaterialsArticles and/or Moots Uploaded onto this Website by the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator and expressly excludes any and all liability in connection with the Uploading of such MaterialsArticles and/or Moots by the Expert Wemoot User, Star User, Advertiser, Moderator or Administrator.
The Company does not endorse the content of any advertisements Uploaded onto this Website by the Advertisers and expressly excludes any and all liability in connection with the Uploading of such advertisements by the Advertisers.
LIMITATION OF LIABILITY
Nothing in these terms and conditions shall exclude or in any way limit the Company's liability for fraud, or for death or personal injury caused directly by its negligence, or any other liability to the extent such liability may not be excluded or limited as a matter of law. Subject to this:
The Company’s maximum aggregate liability under or in connection with the Advertisers under these Terms and Conditions, whether in contract, tort (including negligence) or otherwise, will in no circumstances exceed the Subscription Fee paidPayment made by the ExpertAdvertisers under these Terms and Conditions;
The Company will under no circumstances whatsoever be liable to the Wemoot User, Star User, Advertiser, Moderator or Administrator under these Terms and Conditions as the Wemoot User and Star people are using the Services on this Website at their own risk;
The Company will not be liable to the Expert Wemoot User, Star User, Advertiser, Moderator and/or Administrator under these Terms and Conditions for any loss of actual or anticipated income or profits, loss of contracts or for any special, indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise, whether or not such loss or damage is foreseeable, foreseen or known.
It is the Company’s policy not to tolerate any acts of intellectual property infringement or violations of the laws of the United Kingdom or any other applicable laws. The Company will use all reasonable endeavours to remove, disable, or restrict access to or availability of MaterialsArticles, Moots and/or Aadvertisements that the Company considers to be subjective and view as infringing. The provisions of cClause [2] are intended to implement these Terms and Conditions but do not impose a contractual obligation on the Company to undertake, or refrain from undertaking, any particular course of conduct.

The ExpertParties agrees agree to indemnify and keep the Company indemnified against any and all claims for infringement of any Intellectual Property Rights brought by a third party as a result of the ExpertParties’s use of this Website.
The ExpertParties agrees agree to indemnify and keep the Company indemnified against any and all losses or liabilities incurred directly by the Company against any and all loss or damage of any kind suffered as a result of their misuse of this Website and/or any breach or non-observance of these Terms and Conditions as a result of any breach or non-observance by the ExpertParties of any of these Terms and Conditions or the terms of the Privacy Policy.
COMPLAINTS PROCEDURES
If the Member Wemoot User, Star User, Advertiser, Moderator or Administrator believes that someone has Uploaded MaterialsArticles and/or Moots which violate the Terms and Conditions or the Privacy Policy, the Member Wemoot User, Star User, Advertiser, Moderator or Administrator will promptly notify the Company by email at the following address: info@wemoot.com. In order for the Company to respond effectively, please provide the Company with as much detail as possible, including:
The nature of the right infringed or violated (including the registration numbers of any registered trade marks or patents allegedly infringed);
All facts which may lead the Member Wemoot User, Star User, Advertiser, Moderator or Administrator to believe that a right has been violated or infringed;
The precise location where the offending MaterialsArticles and/or Moots are located;
Any grounds on which the person who posted the MaterialsArticles and/or Moots was not authorised to do so or did not have a valid defence (including the defence of fair use); and
If known, the identity of the person or persons who Uploaded the infringing or offending MaterialsArticles and/or Moots.
We reserve the right, but have no obligation to remove any MaterialsArticles and/or Moots except where we are obligated under the law and reserve the right to remove any MaterialsArticles and/or Moots, whenever, and for no reason whatsoever.
INDEMNIFICATION
Subject to Clauses 15.5 and 15.6, the Expert Wemoot User, Star User, Advertiser, Moderator and/or Administrator agrees agree to defend, indemnify and hold harmless the Company, its officers, directors, employees, and agents from and against all claims which may be asserted against the Company, including but not limited to, any and all claims, damages, obligations, losses, liabilities, costs, debts, and expense
